Teva’s Shares Now Trade Directly on the NYSE — Here’s What Else Changed

Teva Pharmaceutical Industries Ltd. (NYSE:TEVA) had a busy week that included a major debt refinancing, a milestone shift in how its shares trade on the NYSE and analyst activity.

Multi-Tranche Senior Notes Offering to Redeem Existing Debt

On Sept. 10, Teva announced it successfully priced approximately $4.9 billion (equivalent) of senior notes across five tranches denominated in euros and U.S. dollars, with maturities ranging from 2032 to 2037. The offering, expected to settle on or about September 16, is intended to fund the redemption of several existing note series, including its 6.750% Senior Notes due 2028 and multiple sustainability-linked notes due between 2027 and 2031. The new notes will be unsecured senior obligations of the issuers and unconditionally guaranteed by Teva.

The NYSE Direct Listing

On September 14, Teva announced its ordinary shares began trading directly on the New York Stock Exchange, completing the company’s planned transition away from its American Depositary Shares program. Shares continue to trade under the ticker “TEVA” on both the NYSE and the Tel Aviv Stock Exchange.

“Today marks another meaningful milestone in Teva’s transformation,” said Richard Francis, President and CEO of Teva. “The trading of our ordinary shares on the NYSE is expected to broaden investor access to our shares and reflects the momentum we are building through our Pivot to Growth strategy.”

Teva said the move follows its return to investment-grade credit ratings from all three major ratings agencies, and comes as the company’s three flagship innovative brands — Austedo, Ajovy, and Uzedy — have grown collectively by more than 40% year-over-year, with expected 2026 revenues of approximately $3.7 billion.
