Debt Dispute and Former CEO Restructuring Strategy

The pull-back follows extreme volatility sparked on Wednesday when Beneficient announced a plan to eliminate approximately $130 million of disputed debt held by HCLP Nominees and extinguish equity interests tied to former Chief Executive Officer Brad Heppner.

Heppner was convicted on May 7 of federal securities and wire fraud after prosecutors proved he fraudulently concealed his control of HCLP and fabricated the corporate debt.

Ahead of Heppner’s scheduled sentencing on October 21, Beneficient proposed a consensual settlement that would convert subsidiary preferred equity with an aggregate liquidation preference of $850 million into 162,132 Class A common shares while completely eliminating his Class B super-voting control and board-appointment rights.
