AiRWA Inc. (NASDAQ:YYAI) stock plummeted Wednesday after investors reacted to the company’s July 27 announcement of a definitive agreement to acquire Hongkong Best Life Trade Co., Limited.
The decline came as the technology sector slipped 0.5% and the S&P 500 fell 0.4%.
What Is Driving YYAI Stock?
AiRWA agreed to acquire a 97% stake in Best Life for $50 million, plus up to $80 million in performance-based earn-out payments.
The company will pay $30 million at closing and $20 million within 90 days. It will pay another $30 million if Best Life generates $10 million in fiscal 2026 revenue and $50 million if revenue reaches $25 million in fiscal 2027.
Best Life imports and exports consumer and commercial goods across Japan, Hong Kong and mainland China. It also operates in the U.K. and is establishing subsidiaries in the U.S., Canada and New Zealand.
The company has formal cooperation agreements with Alibaba Health Hong Kong, AlipayHK, Tmall, Taobao and Cainiao. Management expects annual revenue to exceed $100 million within three fiscal years.
Financial And Strategic Impact
The deal’s maximum potential value is $130 million if Best Life meets both earn-out targets. While the structure links $80 million of the consideration to future performance, the payments could still pressure AiRWA’s liquidity.
Investors may also scrutinize the difference between Best Life’s fiscal 2026 and 2027 revenue targets and management’s projection of more than $100 million in annual revenue within three fiscal years.
AiRWA said the acquisition will broaden its revenue base, complement its AI data-training business and reduce reliance on technology licensing and social media advertising.
“The earn-out structure of this acquisition closely aligns consideration with results while preserving capital and incentivizing continued execution by Best Life’s management team,” Chief Financial Officer Guibao Ji said.
AiRWA provides AI data and technology services, licenses proprietary technology for digital matchmaking solutions, and is developing AiRWA Exchange for tokenized real-world assets.
As of March 31, AiRWA held $35.712 million in cash and equivalents.
YYAI Price Action: Airwa shares were down 65.42% at $0.31 at the time of publication on Wednesday. The stock is trading at a new 52-week low, according to Benzinga Pro data.
