Marygold Stock Nearly Doubles on Madison Dearborn’s 100%-Premium Take-Private Deal

The Marygold Companies, Inc. (AMEX:MGLD) stock surged in Friday trading after funds managed by Madison Dearborn Partners agreed to acquire the company for $2.00 per share in cash.

The offer represents a 100% premium to Marygold’s Sept. 24 closing share price.

Deal Approval And Closing

Marygold’s board unanimously approved the transaction, while stockholders who beneficially own about 75% of the outstanding shares, including CEO Nicholas Gerber, agreed to support it, subject to customary exceptions.

The deal is expected to close in the first half of 2027 or earlier, pending shareholder approval, regulatory clearances, certain change-of-control approvals and other customary conditions.

Upon completion, Marygold will become privately held, and its common stock will no longer be publicly listed.

Buyer Plans To Focus Marygold On USCF

The acquisition is expected to advance Marygold’s previously announced strategy of concentrating the business around its USCF fund-management operations.

USCF currently manages about $6 billion in assets. In fiscal 2026, its average assets under management increased 41% to $4.1 billion from $2.9 billion, while revenue rose 23%.

Madison Dearborn said it plans to provide capital and strategic support to USCF following the acquisition.

Tim Rotolo will become Marygold’s CEO after the transaction. Rotolo has more than 15 years of experience in ETFs, public markets, and institutional capital raising and previously helped develop the URNM uranium mining ETF.

Marygold reported fiscal 2026 revenue of $25.3 million, up 8% year over year, while its net loss narrowed to $4.4 million from $5.8 million.

Printstock Sale Set For November Closing

Marygold separately said its Gourmet Foods Limited subsidiary agreed to sell Printstock Products Limited to New Zealand-based TAG Investments Limited for at least 2.45 million New Zealand dollars in cash.

The asset sale is expected to close around Nov. 20, subject to due diligence, lease assignment, inventory valuations and other conditions. Marygold expects to record a gain on the transaction.

Marygold has classified Gourmet Foods as discontinued operations while it seeks a buyer for the broader business.
