CleanSpark Raises Capital via Expensive Debt, Stock Falls

CleanSpark, Inc. (NASDAQ:CLSK) stock declined on Friday as CSDC Finance, a wholly owned subsidiary of CleanSpark, officially scheduled the closing of its $2.276 billion offering of 7.875% senior secured notes due 2031 for Friday.

The Nasdaq is up 0.52% while the S&P 500 has gained 0.58% and Technology is leading sectors with a 0.82% gain—making CLSK’s drop stand out.

Debt Terms Add Balance Sheet Pressure

CSDC Finance priced the senior secured notes at 98.500% of their principal amount in a private placement to qualified institutional buyers under Rule 144A and non-U.S. investors under Regulation S under the Securities Act of 1933.

While this capital is earmarked to fund the build-out of its flagship Sandersville facility, the debt comes at a steep cost.

Investors are highly concerned about the massive fixed annual debt service burden this adds to a balance sheet.

Technical Analysis

From a trend perspective, CLSK is still holding a constructive intermediate setup: it’s trading about 4.7% above its 20-day SMA ($13.16) and about 5.1% above its 50-day SMA ($13.11), and the 20-day SMA remains above the 50-day SMA (a bullish alignment). The bigger “tell” is that price is still about 2.8% below the 100-day SMA ($14.18), suggesting rallies have recently struggled to fully reclaim the longer swing trend.

Momentum is best framed through RSI, which sits at 53.77—neutral, and consistent with a stock that’s chopping rather than trending hard. RSI measures how stretched a move is versus recent history, and a mid-50s reading typically signals neither buyers nor sellers have clear control.

The longer-term backdrop is still improving after the golden cross in June (50-day SMA above the 200-day SMA), but traders will watch whether this pullback turns into another lower high after the recent swing high in July. Key levels are straightforward: a push back toward resistance would need follow-through to change the near-term tone, while a breakdown would put the recent uptrend structure under pressure.

  • Key Support: $11.50 — a prior demand zone that sits well above the $8, 52-week low, making it a key “line in the sand” for the current range
  • Key Resistance: $15.50 — a nearby pivot/round-number area where rebounds can stall
