Under the terms disclosed on Wednesday, Antelope Enterprise secured approximately $5.965 million in net proceeds from an accredited investor. The 8.00% convertible note carries no fixed maturity date, with interest accruing from September 10, payable in cash.
The note is convertible at the holder’s option on or after September 10 into Class A ordinary shares at a price equal to 80% of the lowest daily volume-weighted average price over the three trading days ending on the conversion date.
To safeguard existing shareholders, the financing agreement incorporates structural limits, including a 9.99% beneficial ownership cap, a 12,000,000 conversion share registration limit, and strict compliance with the Nasdaq 19.99% issuance rule (Listing Rule 5635).
The new funding provides capital to expand operations at Hainan Kylin Cloud Services Technology Co. Ltd (in which AEHL holds a 51% stake), positioning the company to capture expanding market share in China’s online social commerce sector.
