Analog Devices to Buy Alif Semiconductor for $1.35 Billion

Analog Devices Inc. (NASDAQ:ADI) said Wednesday it agreed to acquire Alif Semiconductor in an all-cash deal valued at $1.35 billion, expanding its push into artificial intelligence at the edge.

The deal will add Alif’s AI-focused microcontrollers and fusion processors to the company’s portfolio. Analog Devices expects the combination to strengthen its ability to build systems that process data and make decisions locally.

Targets ‘Physical Intelligence’

The company said AI is moving beyond data centers into devices that interact directly with the physical world. These systems must process signals such as motion, sound, vibration and radio waves while managing strict power and latency requirements.

It calls this market “Physical Intelligence.” Alif’s technology supports real-time sensor fusion, low-latency inference and on-device AI. Analog Devices plans to combine those capabilities with its sensing, signal processing, power, connectivity and software portfolio.

The acquisition could expand the company’s addressable market across industrial, data center infrastructure, defense, energy, robotics, digital health and wearable applications.

Alif’s chips are already shipping in production, with design wins across consumer and industrial customers.

Deal Could Reach $1.55 Billion

Under the agreement, Analog Devices will pay Alif shareholders $1.35 billion upfront in cash. The deal also includes up to $200 million in additional contingent consideration.

Analog Devices reported approximately $2.17 billion in cash and cash equivalents as of its fiscal third quarter ending August 1, 2026.

Both companies’ boards approved the transaction. Analog Devices expects the acquisition to close before the end of 2026, subject to customary closing conditions and U.S. antitrust review.

ADI Price Action: Analog Devices shares were up 0.03% at $363.30 at the time of publication on Wednesday, according to Benzinga Pro data.
