Sadot Group Inc. (NASDAQ:SDOT) stock traded lower Tuesday as investors weighed an amended stock resale registration and the resignation of its chief financial officer.
The amended S-1 covers up to 4.25 million common shares. That equals about 292% of the 1.45 million shares outstanding as of Aug. 21.
The total includes up to 2.5 million shares tied to an equity purchase facility. It also includes about 1.75 million shares issuable under a $4 million note issued in July and a proposed $1 million second note.
The filing does not mean all registered shares will be sold. However, issuing the new shares could dilute existing shareholders. Their subsequent sale, or the expectation of such sales, could also pressure Sadot’s stock price.
Financing Raises Dilution Risk
Sadot will not receive proceeds when the selling stockholders resell their shares. However, it may receive up to $50 million in gross proceeds if it sells new shares to the equity facility investor. The company could also receive $900,000 from the proposed second convertible note.
The initial note carries an adjusted fixed conversion price of $8 per share. It also has a variable conversion mechanism with a $2.85 floor.
The amended filing reduced the number of registered conversion shares from about 3.51 million to 1.75 million.
Sadot said recurring operating losses, negative working capital, debt defaults and its shareholders’ deficit raised substantial doubt about its ability to continue as a going concern. As of June 30, the company had $100,000 in cash, a $13.6 million working capital deficit and a $5.9 million shareholders’ deficit.
CEO Takes Interim CFO Role
Separately, CFO Oren Attiya resigned for personal reasons, effective Aug. 23. Attiya said his departure did not involve any disagreement with Sadot.
The board appointed CEO Haggai Ravid as interim CFO, principal financial officer and principal accounting officer. Sadot has started searching for a permanent replacement.
Under a separation agreement, Sadot agreed to issue Attiya 6,000 restricted shares.
