WhiteFiber Stock Sinks After Raising $270 Million via Convertible Unsecured Debt

WhiteFiber, Inc. (NASDAQ:WYFI) shares are down on Wednesday, trading lower by almost 26% as the company announced an upsized offering of convertible senior notes.

This move comes amid a mixed market tone, with broader indices showing slight fluctuations, which may be influencing investor sentiment.

Convertible Notes Offering

WhiteFiber priced $270 million of 5.00% Convertible Senior Notes due 2032 in a private placement to qualified institutional buyers, up from the previously announced $250 million.

Initial purchasers also have an option to buy up to an additional $40 million of notes. The offering is expected to close on August 21, 2026, subject to customary conditions.

The senior unsecured notes will mature on September 1, 2032 and pay 5.00% annual interest semiannually beginning March 1, 2027.

The initial conversion rate is 29.5530 shares per $1,000 principal amount, equivalent to a conversion price of approximately $33.84 per share, representing a 25% premium to the August 18 closing price.

WhiteFiber may redeem the notes for cash from September 6, 2030, subject to certain conditions, including the stock price reaching at least 130% of the applicable conversion price for the required trading period.

The redemption price will equal 100% of the principal amount plus accrued and unpaid interest.
