Why Is Innoviz Technologies Stock Falling Tuesday?

Innoviz Technologies Ltd. (NASDAQ:INVZ) stock fell Tuesday after the lidar technology company announced a $30 million registered direct offering of ordinary shares to institutional investors.

Registered Direct Offering Details

The company said it entered into a definitive agreement to sell an aggregate of 66.7 million ordinary shares. The offering is expected to generate gross proceeds of about $30 million before expenses.

Innoviz said it plans to use the net proceeds for general corporate purposes, including supporting the commercialization of Perciz, its dedicated security and defense brand.

The offering is expected to close on or about July 29, subject to customary closing conditions.

Titan Partners is serving as the sole placement agent, while WestPark Capital Inc. is acting as financial adviser for the transaction.

Why The Stock Fell

Registered direct offerings typically weigh on a company’s stock because they increase the number of outstanding shares, which can dilute existing shareholders’ ownership. Investors may also view such capital raises as a sign that a company needs additional funding.

Business And Growth Strategy

Innoviz develops automotive-grade lidar sensor platforms and perception software for automotive, industrial, security and defense applications. Through its Perciz brand, the company is expanding its automotive lidar technology into defense, homeland security and critical infrastructure markets.
